1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and DigiGini Corp Pvt Ltd, a company incorporated under the Companies Act 2013 with its registered office at B-HUB, 5th Floor, Maurya Lok Complex, Patna, Bihar 800001, India ("DigiGini", "we", "us", or "our"). By accessing or using the DigiGini platform, including DigiGini Bookz, DigiGini HRMate, our websites, APIs, and mobile applications (collectively, the "Services"), you agree to be bound by these Terms. If you are agreeing on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree, do not use our Services.

2. Definitions

  • Platform:The DigiGini web application, mobile applications, and associated APIs available at digigini.com and related subdomains.
  • Services:All products and features provided by DigiGini, including Bookz (billing, accounting, inventory, GST reporting) and HRMate (HR, payroll, attendance, leave management).
  • Customer Data:All data, content, and information submitted, uploaded, or entered into the Platform by you or on your behalf.
  • Subscription:A paid or free-trial plan that grants access to the Services for a specified period.
  • Authorised Users:Employees, contractors, or agents of yours who are permitted to access and use the Services under your account.

3. Service Description

DigiGini provides cloud-based business management software designed for Indian small and medium enterprises (SMEs). Our Services include: • Bookz: GST-compliant billing and invoicing, inventory management, purchase orders, accounting ledgers, business reports, multi-branch management, and mobile/offline billing. • HRMate: Employee management, payroll processing, PF/ESI/TDS compliance, attendance tracking (biometric, mobile, GPS), leave management, and performance management. We reserve the right to modify, enhance, or discontinue any feature of the Services with reasonable notice to you.

4. Eligibility

To use the Services, you must: (a) be at least 18 years of age; (b) be a legal entity or individual with the capacity to enter into a binding contract under Indian law; (c) not be barred from using the Services under any applicable law; and (d) have a valid GST registration number if using GST-related features. By using the Services, you represent and warrant that you meet all eligibility requirements.

5. Account Registration and Security

You must create an account to use the Services. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your account information; (c) keep your login credentials confidential and not share them with unauthorised persons; (d) immediately notify us at [email protected] if you suspect unauthorised access to your account; and (e) be responsible for all activities that occur under your account, whether or not you authorised them. DigiGini reserves the right to suspend or terminate accounts that violate these Terms, are used fraudulently, or remain inactive for more than 12 consecutive months on a free plan.

6. Acceptable Use

You agree to use the Services only for lawful business purposes and in compliance with all applicable laws, including the Information Technology Act 2000 and GST laws of India. You must not:

  • Prohibited Activities:Upload, transmit, or store any data that is unlawful, harmful, defamatory, or that infringes intellectual property rights; attempt to gain unauthorised access to any part of the Platform or other users’ data; use the Services to process data on behalf of third parties without authorisation; introduce malicious code, viruses, or any software intended to damage or disrupt the Platform; scrape, crawl, or use automated tools to extract data from the Platform without our written consent; resell, sublicense, or otherwise commercialise access to the Services without our express written permission.

Violation of this section may result in immediate suspension or termination of your account without a refund.

7. Free Trial

DigiGini offers a 14-day free trial that provides full access to Pro plan features. No credit card is required to start a trial. The trial automatically ends after 14 days without any charge. At the end of the trial, your account will be downgraded to the Free plan (if available) or you may choose to subscribe to a paid plan. DigiGini reserves the right to modify the duration or features of the free trial at any time.

8. Subscription Plans and Billing

Paid subscriptions are available on monthly and annual billing cycles. By subscribing, you authorise DigiGini to charge your selected payment method at the start of each billing period. All prices are in Indian Rupees (INR) and are exclusive of applicable taxes (GST will be charged as applicable). We reserve the right to change subscription prices with 30 days' prior notice. Continued use of the Services after a price change takes effect constitutes your acceptance of the new price. We use Razorpay as our payment gateway; your payment information is subject to Razorpay's terms and privacy policy.

9. Refund Policy

Annual Plans: We offer a 7-day money-back guarantee from the date of purchase. Refund requests must be submitted to [email protected] within 7 days. Approved refunds will be processed to the original payment method within 7–10 business days. Monthly Plans: Monthly subscriptions are non-refundable for the current billing period. You may cancel at any time and will retain access until the end of the paid period. Upgrade / Downgrade: If you upgrade to a higher plan mid-cycle, you will be charged a pro-rated amount. Downgrading to a lower plan takes effect at the next billing cycle; no partial refunds are issued for the difference. Failed Payments: If payment fails, we will retry 3 times over 7 days. If payment remains outstanding, your account may be suspended until payment is received. Data is retained for 30 days after suspension before permanent deletion.

10. Intellectual Property

DigiGini retains all intellectual property rights in and to the Services, including the software, design, trademarks, logos, algorithms, and documentation ("DigiGini IP"). Nothing in these Terms transfers any DigiGini IP to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes during your subscription period. You retain full ownership of all Customer Data. By using the Services, you grant DigiGini a limited, non-exclusive licence to store, process, and display your Customer Data solely to provide the Services to you. You represent that you have all necessary rights to submit Customer Data to the Platform.

11. Data Protection and Privacy

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of the Services complies with applicable data protection laws, including any obligations as a data controller with respect to your employees' and customers' personal data. DigiGini acts as a data processor on your behalf for Customer Data.

12. Confidentiality

Each party agrees to keep confidential all non-public information of the other party ("Confidential Information") and to use it only for the purposes of these Terms. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was already known to the receiving party before disclosure; (c) is independently developed without reference to the disclosing party's information; or (d) is required to be disclosed by law, provided the receiving party gives prompt prior notice to the disclosing party.

13. Service Availability and Support

DigiGini targets 99.5% monthly uptime for paid plans. Scheduled maintenance will be communicated at least 48 hours in advance and performed during off-peak hours (typically 1:00 AM – 5:00 AM IST). Support is provided via email ([email protected]), in-app chat, and phone (+91-9709803090) during business hours (Monday–Saturday, 9:00 AM – 6:00 PM IST). Response times vary by plan: Pro and Enterprise plans receive priority support with a target 4-hour response time for critical issues.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION. DIGIGINI DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE. WHILE WE STRIVE FOR ACCURACY IN GST CALCULATIONS AND PAYROLL PROCESSING, YOU REMAIN RESPONSIBLE FOR VERIFYING ALL OUTPUT BEFORE FILING RETURNS OR MAKING STATUTORY PAYMENTS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) DIGIGINI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (b) DIGIGINI'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO DIGIGINI IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM. These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if the limited remedy fails of its essential purpose.

16. Indemnification

You agree to indemnify, defend, and hold harmless DigiGini, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your violation of these Terms; (b) your Customer Data, including any claim that it infringes a third party's rights; (c) your use of the Services in violation of any applicable law; or (d) wilful misconduct or gross negligence by you or your Authorised Users.

17. Term and Termination

These Terms remain in effect for as long as you use the Services. Either party may terminate the agreement: (a) You may cancel your subscription at any time from your account settings; (b) DigiGini may terminate or suspend your access immediately, without notice, if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination: your access to the Services will cease; you may export your Customer Data for 30 days post-termination; after 30 days, we will delete your Customer Data (unless retention is required by law); and provisions that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) will survive.

18. Modifications to Terms

We may revise these Terms at any time. For material changes, we will provide at least 14 days' notice via email or an in-app notification. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Services and may request account deletion.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Dispute Resolution: In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve it amicably through good-faith negotiation for a period of 30 days. If unresolved, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act 1996 (as amended), by a sole arbitrator mutually appointed by both parties. The seat of arbitration shall be Patna, Bihar. The language of arbitration shall be English. Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction. Subject to the foregoing, the courts at Patna, Bihar shall have exclusive jurisdiction over any dispute not subject to arbitration.

20. Force Majeure

DigiGini shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government actions, internet outages, power failures, or labour disputes. In such events, we will notify you promptly and make reasonable efforts to resume the Services.

21. General Provisions

  • Entire Agreement:These Terms, together with the Privacy Policy and any order forms or addenda, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements.
  • Severability:If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver:Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
  • Assignment:You may not assign or transfer these Terms or your account without our prior written consent. DigiGini may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • No Partnership:Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.
  • Notices:All legal notices to DigiGini must be sent to [email protected] or by post to our registered address. Notices to you will be sent to the email address on file for your account.
